Welcome to SimpleCX. Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website (the "Site") and any customer experience AI applications, platforms, or services (collectively, the "Services") operated by SimpleCX LLC ("us", "we", or "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, you do not have permission to access or use our Services.

 

1. Account Registration and Eligibility

 

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

 

You are solely responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Use of Services and Restrictions

 

SimpleCX LLC grants you a non-exclusive, non-transferable, revocable license to use our AI-driven customer experience platform solely for your internal business operations in accordance with these Terms. You agree not to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.

  • Use the Services for any unlawful purpose or in violation of any local, state, national, or international law.

  • Reverse engineer, decompile, or disassemble any software components used within the Services.

  • Input or transmit any data that contains software viruses, automated bots, or harmful computer code.

 

3. SMS, A2P, and Mobile Communications (Carrier Compliance)

 

By providing your mobile telephone number and opting in to receive communications from SimpleCX LLC, you express consent to receive text messages (including SMS, MMS, and A2P messaging) from us. These communications may include operational updates, account alerts, service modifications, security notifications, or promotional messages.

  • Opt-In Consent: User consent to receive mobile communications is collected transparently. Opt-in data and consent details will not be shared with, rented to, or sold to any third parties or affiliates for marketing or promotional activities.

  • Opt-Out Protocol: You may cancel the SMS service at any time. Simply text the keyword STOP to our number. After sending STOP, we will send a confirmation message verifying your unsubscription. Once confirmed, you will no longer receive text messages from that specific campaign or number.

  • Support: For help or system assistance, text the keyword HELP to our number, or contact our customer support team directly at taiken@simplecx.ai.

  • Rates and Frequency: Message and data rates may apply for any messages sent to you from us, and from you to us. Message frequency varies according to your account settings, automated support triggers, and workflow configurations.

 

4. Intellectual Property Rights

 

The Services, including their original content, features, artificial intelligence models, algorithms, workflows, branding, user interfaces, and software code, are and will remain the exclusive property of SimpleCX LLC and its licensors. Our intellectual property is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Any feedback, comments, or suggestions you provide regarding the platform or AI capabilities is entirely voluntary, and SimpleCX LLC will be free to use such feedback without any obligation or compensation to you.

5. Fees and Payment

 

Certain components of our Services are provided on a subscription basis. You agree to pay all applicable fees, taxes, and charges associated with your selected tier. All billing info must be accurate. If automatic billing fails, we reserve the right to suspend or terminate your access to the platform until outstanding balances are cleared.

6. Termination

 

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

7. Limitation of Liability and Disclaimer

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. SimpleCX LLC makes no warranties, expressed or implied, regarding the reliability, operational uptime, or absolute accuracy of the generative AI customer answers and platform outputs.

 

In no event shall SimpleCX LLC, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the platform.

8. Governing Law

 

These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the State where SimpleCX LLC is legally registered (e.g., Delaware, California), without regard to its conflict of law provisions.

9. Changes to Terms

 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
